ASPECTOS DE SEGURANÇA, MEIO AMBIENTE E SAÚDE NAS OPERAÇÕES DE AQUISIÇÃO DE EMPRESAS: UMA PROPOSTA DE ABORDAGEM SISTÊMICA

Abstract

This study deals with the matter of the importance of the analysis of the labor safety, environmental and health aspects in a company acquisition, in so far as they affect the value attributed to the company, require adequate contractual treatment and are important in the identification of the stages of a take-over plan of the acquired company. The analysis developed aims to appoint the various important steps when treating the company acquisition and the specific subject of these matters, in an integrated approach, emphasizing the phases of due diligence of the company to be purchased, the negotiation of the share purchase agreement and the take-over of the operations by the purchaser. These matters are equally important in the post-acquisition phase, because they may generate significant claims from the buyer against the seller and must orientate the remediation of the environmental problems detected and the implementation of adjustments in the health and labor safety practices.
